Yes. Wayfinder forms multi-member Oregon LLCs and coordinates with a qualified Oregon business attorney on the operating agreement. The state filing process is the same, the difference is the operating agreement, which for multi-member LLCs must address each member's ownership percentage, decision-making rights, profit distribution, and exit terms. It depends on how many owners there are and whether you make an election. A single-member LLC is treated as a disregarded entity by default, all income flows to your personal return (Schedule C). A multi-member LLC is taxed as a partnership by default, each member receives a K-1 and reports their share on their personal return. Either type can elect S-corporation treatment (IRS Form 2553), which may reduce self-employment tax at certain income levels but adds payroll complexity. An S-corp election (IRS Form 2553) changes how your LLC is taxed, not what it is legally. Under S-corp treatment, owner-employees pay themselves a reasonable salary (subject to payroll taxes) and remaining profits are distributed without self-employment tax. At sufficient income levels this can reduce your overall tax burden. It also adds payroll compliance requirements: you must run payroll, file quarterly payroll returns, and issue W-2s. Whether the savings justify the complexity depends on your income level, your CPA can model it. You can cancel any Wayfinder service at any time by contacting us at [email protected]. If work on your matter has not yet started, you are entitled to a full refund. Once work has begun, including any filing preparation, research, or correspondence on your behalf, no refund is available. Prepaid annual fees cover the full service period purchased and are non-refundable once the period has started. You will continue to receive service through the end of the period you paid for.

For a standard single-member LLC, no. Wayfinder handles the formation filing, EIN, operating agreement, and registered agent service without legal counsel needed. If your situation is more complex, multi-member LLC, property transfers, partnership disputes, or industry-specific licensing, we'll tell you clearly and refer you to an Oregon attorney we trust.
Once you submit your information, Wayfinder typically prepares your filing within 1–2 business days. The Oregon Secretary of State (SOS) typically processes the filing within 1 business day. For same-day processing, Wayfinder can hand-deliver your filing to the Salem SOS office ($75 add-on). We'll confirm your timeline when you start.
Every formation package includes: Articles of Organization prepared and filed with the Oregon SOS, EIN obtained on your behalf (we collect your SSN by phone and do not retain it), a single-member operating agreement, one year of registered agent service, local business license jurisdiction research, and secure document delivery via your Wayfinder portal.
We can form the LLC and handle the state filing. For multi-member operating agreements, which govern how the business is owned, how decisions are made, and what happens if a member leaves, we refer you to an Oregon attorney. These agreements are legal documents that should be drafted by counsel, not templated. We'll make the referral and coordinate with your attorney on timing.
Yes. Wayfinder's address appears on public SOS records in place of your personal address. Your SSN is collected by phone only for the EIN application and is not stored. Your documents are delivered via a secure client portal. We don't share or sell client information.
An LLC, Limited Liability Company, is a legal business structure that separates your personal assets from your business liabilities. If your business is sued or owes money, your personal savings, home, and property are generally protected. It also gives your business a formal legal identity, which helps with opening business bank accounts, signing contracts, and establishing credibility with clients. A sole proprietorship is the default, if you're doing business without forming a legal entity, you're a sole proprietor. There's no separation between you and your business: you report income on your personal taxes, and you're personally liable for any business debts or lawsuits. By default, a single-member LLC is a "disregarded entity" for federal tax purposes, income and expenses flow through to your personal tax return on Schedule C. Oregon follows the same treatment at the state level. Oregon also imposes a minimum annual Corporate Excise Tax on LLCs with Oregon-source income. Talk to your CPA about your specific situation. Yes, in most practical cases. You need an EIN to open a business bank account, hire employees, and file certain tax forms. Even if you're the only member, having an EIN keeps your business finances separate from your personal SSN, which is important for security and professionalism. Wayfinder obtains your EIN as part of every formation package.
An operating agreement is a document that defines the internal rules of your LLC, how profits are distributed, how decisions are made, what happens if a member leaves or dies. Oregon doesn't legally require one, but you should have one anyway. Without it, your LLC is governed by Oregon's default LLC statutes, which may not match how you actually want to run your business. Yes. Changes to your LLC's name, principal address, or registered agent require an Amendment filing with the Oregon SOS. If you're a Wayfinder client, we handle minor updates at no extra charge, just let us know. Name changes require a more formal amendment and may need a new name availability check first.
Yes. You don't need to be an Oregon resident to form an Oregon LLC. You do need an Oregon registered agent with a physical Oregon address. Wayfinder provides this. If you're operating primarily in another state, you may also need to register in that state as a foreign LLC. Talk to an attorney if you're running a business across multiple states.
A registered agent is a person or company with a physical Oregon address designated to receive official legal and government correspondence on behalf of your LLC. This includes service of process (lawsuit documents), notices from the Oregon Secretary of State, and other official mail. Every Oregon LLC is legally required to have one at all times. Yes, if you have a physical Oregon address and are available there during all regular business hours. Most business owners choose not to for two reasons: their home address ends up on public SOS records, and they can't always be at a fixed address during business hours. A lawsuit served at your front door in front of family or employees is also uncomfortable. At $100/year, a registered agent service addresses both.
Operating without a registered agent, or with an agent who can't be reached at their listed address, puts your LLC at risk of falling out of good standing with the state. More critically, you could miss service of process in a lawsuit, which can result in a default judgment against you. Oregon requires active registered agent status at all times.

Yes. We can serve as registered agent for any existing Oregon LLC, regardless of who formed it. Complete our intake form and we'll handle the transfer with the SOS. $100/year for standalone registered agent service.
Oregon requires every active LLC to file an Annual Report with the Secretary of State each year to confirm current information and pay a state renewal fee. It's not a financial report, it confirms your registered agent, address, and member information. Missing it puts your LLC at risk of administrative dissolution. Oregon Annual Reports are due on the anniversary of your LLC's formation date, the date the Oregon SOS approved your Articles of Organization. The SOS sends a reminder notice approximately 45 days before the deadline to your registered agent. If Wayfinder is your registered agent, we receive this and file before the deadline.
The Oregon Secretary of State currently charges $100 for LLC Annual Report filings. This is a state fee paid directly to the SOS, separate from any service fees. Wayfinder's Annual Compliance package ($200/year) covers our service, preparation, filing, registered agent, and portal access. The state fee is separate.
Missing the deadline triggers a delinquency process. Late fees accrue, and if the delinquency continues, the Oregon SOS will administratively dissolve your LLC, meaning it no longer legally exists and its liability protections are gone. Reinstating a dissolved LLC requires additional filings and back fees.
No, completely separate. The Oregon Annual Report is a state business registration renewal. It has nothing to do with income, revenue, or taxes. Your federal and state tax filings are handled separately by your CPA or accountant. Wayfinder handles compliance filings, not taxes.
Yes. We can take over Annual Report filing for any Oregon LLC, regardless of who formed it or who the current registered agent is. We'll switch the registered agent, set your LLC up in our compliance system, and handle every Annual Report going forward. $200/year covers both registered agent and annual filing.
No. Forming an LLC with the Oregon Secretary of State creates your legal business entity at the state level. Local business license requirements are set separately by cities and counties, and they are not automatically satisfied by your state LLC filing. Many Oregon businesses need both. Not necessarily. Some Oregon cities and counties have no general business license requirement. Others require a license for every business operating within their boundaries. The only way to know for certain is to research the specific rules for your city and county. Wayfinder does this research as part of every LLC formation.
Often yes, depending on your city. Many Oregon cities require home-based businesses to register for a business license, and some have separate Home Occupation Permits. Cities like Portland, Beaverton, and Lake Oswego each have their own rules. We research this for your specific address and business type as part of every formation.
Research to determine whether a license is required is included with LLC formation at no extra charge. If you want Wayfinder to complete and file the application, we bill at $25 per 15 minutes of staff time. We provide a time estimate before we start so you know approximately what to expect. License fees paid to the city or county are separate and billed directly by the agency.
It varies significantly by jurisdiction. Some cities process applications in a few days; others take several weeks. Some require inspections, background checks, or additional documentation depending on your business type. We'll give you a realistic timeline for your specific situation once we've done the research.
Professional licenses, contractors, healthcare providers, childcare, real estate, financial services, are regulated at the state level through Oregon's professional licensing boards, separate from both your LLC and local business license. Wayfinder's license research covers local business licenses. For professional licensing, we can point you in the right direction, but those applications are handled through the relevant state board.
